Terms of Use

Welcome to RedCell Social ("RedCell," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the RedCell Social website (located at https://redcell.social), the RedCell Social mobile application (currently available as an Android APK, with iOS versions in development), and all related services, features, and content (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Services.

RedCell Social is fully owned and operated by Gnomic Consultants LLC (Address: 1111b South Governors Ave, STE 52987, Dover, Delaware 19904). RedCell Social is a volunteer-built platform designed to facilitate human-driven campaigns on X (formerly Twitter) ("X Platform"). Our Services enable campaign managers (e.g., communities, activists, NGOs, and ethical brands) to coordinate and track authentic engagements by real human volunteers ("Campaigners") using their own X Platform accounts. All activities are strictly manual, non-automated, and compliant with the X Platform's Terms of Service ("X ToS"). We do not use bots, automation, spam, or fake accounts.

These Terms incorporate our Privacy Policy by reference. Please read both documents carefully.

1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms.

1.2 Account Creation

To access certain features of the Services:

• Campaign Managers: You must sign up or sign in using your X Platform account via secure OAuth authentication. We do not store your X Platform credentials; authentication is handled directly by X.
• Campaigners: You must download the RedCell Social app, sign in using your X Platform account via OAuth, follow the official @RedCellSocial handle on X, and complete any validation steps.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately via X DM to @RedCellSocial of any unauthorized use of your account.

1.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, including for violations of these Terms, non-compliance with X ToS, or if we believe your use poses a risk to the Services or other users. Upon termination, you will lose access to the Services, and any pending tasks or payments may be forfeited.

2. Description of Services

2.1 Core Features

Our core features include:

• For Campaign Managers: Create and manage campaigns by assigning tasks (e.g., posting original tweets, replies, quote tweets; or engaging via likes, reposts, bookmarks). Schedule tasks with timezone considerations and multi-language auto-translation. Track real-time metrics in the admin panel, including impressions, engagement rates, profile visits, follower growth, and exportable reports.
• For Campaigners: Receive push notifications for tasks, accept voluntarily, and complete engagements with one-tap simplicity directly in the app. All actions use your own X Platform account and words.
• General: Services are currently limited to the X Platform, with plans to expand. Scaling supports tens of thousands of tasks without automation.

2.2 App Availability

The app is available as a direct APK download for Android devices. iOS and App Store versions are in development. You are responsible for ensuring your device meets compatibility requirements. We are not liable for any issues arising from third-party app stores or downloads.

2.3 Voluntary Participation

Campaign participation is entirely voluntary. Campaigners may accept or decline tasks at their discretion, with no penalties for non-participation. Campaign Managers may offer incentives, but these must comply with applicable laws and X ToS.

3. User Responsibilities and Prohibited Conduct

3.1 Compliance with Laws and X ToS

You agree to use the Services only in compliance with all applicable laws, regulations, and the X ToS. Specifically:

• All engagements must be authentic, human-driven, and not coordinated in a way that violates X's rules on spam, manipulation, or inauthentic behavior.
• Tasks must be staggered, unique per user, and use manual actions to avoid detection as automated activity.
• You will not use the Services for illegal, harmful, or deceptive purposes, including promoting hate, violence, misinformation, or scams.

3.2 Prohibited Activities

You may not:

• Use bots, scripts, or any automation tools with the Services.
• Engage in spam, harassment, or unsolicited communications.
• Impersonate others or create fake accounts.
• Reverse engineer, decompile, or attempt to access the Services' source code.
• Interfere with the Services' operation or other users' experiences.
• Upload or share content that infringes third-party rights or violates intellectual property laws.

Violations may result in immediate account suspension, task cancellations, and reporting to X or relevant authorities.

3.3 Content Ownership

You retain ownership of any content you create or post via the Services (e.g., tweets or replies). By using the Services, you grant us a limited, non-exclusive, royalty-free license to process and display your content solely for facilitating campaigns and providing metrics. We do not claim ownership of your X Platform content.

4. Payments and Billing

4.1 Pricing

The Services operate on a pay-as-you-go model with no subscriptions or lock-ins. Pricing (in USD) is as follows:

• Post (fresh tweet on topic): $0.01 per completed task.
• Reply (reply to a relevant tweet): $0.01 per completed task.
• Like (like a campaign tweet): $0.02 per completed task.
• Quote (quote tweet with custom text): $0.01 per completed task.
• Repost (repost a campaign tweet): $0.01 per completed task.

Payments are deducted only upon task completion and human acceptance. We provide real-time balance tracking in the admin panel.

4.2 Payment Methods

Campaign Managers must add funds via supported methods (e.g., credit card, bank transfer). All transactions are processed securely through third-party providers. You are responsible for any taxes, fees, or currency conversion charges.

4.3 Refunds

Refunds are not provided for completed tasks. Incomplete or declined tasks do not incur charges. Disputes must be raised within 7 days via DM @redcellsocial.

5. Intellectual Property

The Services, including the website, app, admin panel, and all associated designs, logos, and software, are owned by Gnomic Consultants LLC or our licensors and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, revocable license to use the Services for their intended purpose. No other rights are transferred.

6. Privacy and Data Protection

We prioritize user privacy and data security:

• Authentication: Uses secure OAuth; X Platform credentials are never stored.
• Data Encryption: All user data is encrypted at rest and in transit, in compliance with GDPR and other applicable data protection laws.
• Data Usage: We collect only necessary data (e.g., X handle, task completions) to provide the Services. No personal data is shared with third parties without consent, except as required by law.
• Campaign Metrics: Aggregated, anonymized data may be used for analytics and improvements.

7. Termination and Suspension

7.1 By You

You may terminate your account at any time by contacting us via DM @redcellsocial. Any outstanding balances must be settled.

7.2 By Us

We may suspend or terminate access to the Services for any reason, including violations of these Terms, with or without notice.

7.3 Effects of Termination

Upon termination, all licenses granted herein end, and you must cease using the Services. Outstanding payments remain due.

8. Disclaimers and Limitations of Liability

8.1 Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation, and we are not responsible for X Platform downtime or changes to X ToS.

8.2 Limitation of Liability

To the fullest extent permitted by law, Gnomic Consultants LLC (as the owner and operator of RedCell), its volunteers, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

8.3 Force Majeure

We are not liable for delays or failures due to events beyond our control, such as natural disasters, strikes, or X Platform outages.

9. Indemnification

You agree to indemnify and hold harmless Gnomic Consultants LLC (operating as RedCell Social), its volunteers, officers, and agents from any claims, losses, or damages arising from your violation of these Terms, use of the Services, or infringement of third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Dover, Delaware. You waive any objections to venue or jurisdiction.

11. Changes to These Terms

We may update these Terms at any time by posting the revised version on our website. Changes are effective immediately upon posting. Your continued use of the Services constitutes acceptance of the updates. We will notify you of material changes via email or in-app notification where practical.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RedCell.

12.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

12.3 No Waiver

Our failure to enforce any right does not waive that right.

12.4 Assignment

You may not assign these Terms without our consent. We may assign them freely.
